Note on PHI

Authoritize is designed to operate without receiving, processing, or storing any Protected Health Information (PHI). Our audit intake captures only clinic name, URL, and contact email. However, we understand that some clients require a BAA as a matter of policy. We are happy to execute one on request.

Business Associate Agreement Template

This Business Associate Agreement ("BAA") is entered into between Spear and Clover LLC dba Authoritize.ai ("Business Associate") and the undersigned Covered Entity ("Covered Entity") as of the date of execution.

Permitted uses and disclosures

Business Associate may use or disclose Protected Health Information only as necessary to perform the services described in the parties' separately executed services agreement, and as permitted or required by applicable law.

Safeguards

Business Associate shall implement appropriate administrative, physical, and technical safeguards to prevent unauthorized use or disclosure of PHI. Business Associate shall report any Security Incident or Breach of Unsecured PHI to Covered Entity within 60 days of discovery.

Subcontractors

Business Associate shall ensure that any subcontractor that creates, receives, maintains, or transmits PHI on behalf of Business Associate agrees to the same restrictions and conditions that apply to Business Associate under this BAA.

Term and termination

This BAA shall remain in effect for the duration of the parties' separately executed services agreement. Upon termination, Business Associate shall return or destroy all PHI received from, or created or received by Business Associate on behalf of, Covered Entity.
